1. Acceptance of Terms

By accessing or using The Chat Agent ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

The Chat Agent is a managed, multi-provider conversational AI platform that allows you to interact with large language models (LLMs) of your choosing through a unified web interface. The platform includes features such as conversation management, team workspaces, and configurable AI provider integrations.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. Accounts & Responsibilities

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete registration information.
  • Maintain the security of your password and accept responsibility for all activity under your account.
  • Notify us immediately of any unauthorized use of your account.
  • Not share your account credentials with third parties.

You are responsible for all activity that occurs under your account and, if you manage a team workspace, for the members you invite and the access you grant them.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable local, national, or international law or regulation.
  • Transmit or generate content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
  • Attempt to gain unauthorized access to any part of the Service, its servers, or connected systems.
  • Introduce viruses, malware, or other malicious code.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse-engineer, decompile, or disassemble any part of the Service, except as permitted by applicable law.
  • Use the Service in any way that violates the terms of any third-party AI provider you have configured.

5. Third-Party Providers & API Keys

The Chat Agent integrates with third-party AI providers (e.g. OpenAI, Anthropic, Azure OpenAI). To use these integrations, you must supply your own API keys.

You acknowledge and agree that:

  • You are solely responsible for all costs, charges, and fees incurred through your use of third-party providers via the Service.
  • Each provider's own terms of service and acceptable use policies govern your use of their APIs.
  • We are not liable for any actions, errors, or outages of third-party providers.
  • You must keep your API keys confidential and rotate them promptly if compromised.

6. Intellectual Property

The Service and its original content, features, and functionality are owned by us and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any content you create or upload through the Service. By using the Service, you grant us a limited, non-exclusive licence to process that content solely to provide the features you request.

7. Disclaimers & Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. AI-generated responses may be inaccurate, incomplete, or inappropriate — always verify outputs before relying on them.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM OR (B) £100.

9. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, if you breach these Terms or if we determine it is necessary for legal or security reasons.

You may terminate your account at any time by contacting us or using the account deletion feature within the platform. Upon termination, your right to use the Service ceases immediately.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last updated" date and, where appropriate, sending an email notification.

Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
